Astaldi S.p.A. informs that the Demerger Plan, including its attachments, was published today on the Company’s website (www.astaldi.com), the authorised storage mechanism 1INFO (www.1Info.it), and filed at the company’s registered office, pursuant to art. 2501-septies of the Italian civil code and art. 2506-ter of the Italian civil code.
Specifically, the following documents were published:
(i) Plan of the partial and proportional demerger of Astaldi S.p.A. in favour of Webuild S.p.A., including its attachments;
(ii) Illustrative Directors’ Report on the demerger pursuant to art. 2506-ter of the Italian civil code;
(iii) Independent Auditors’ Report on the share assignment ratio pursuant to articles 2506-ter and 2501-sexies of the Italian civil code;
(iv) Balance sheet at 31 December 2020;
(v) Financial Report for FY 2019, 2018 and 2017.
The Demerger Plan was registered with the Rome Companies Register under reference number 95800/2021 of 24 March 2021.
The demerger is subject to the approval of the Shareholders’ Meeting called for 29 April 2021, at 9:00 a.m., at the Company’s registered office. The notice of call and information regarding participation methods are available on the Company’s website “Governance/Shareholders Meetings” section.
